These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Base Research Inc., doing business as Runhome (“Runhome,” “we,” “us,” or “our”), governing your access to and use of the Runhome platform, including runhome.com, baseresearch.co, our mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By creating an account or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. You represent that you are at least eighteen (18) years of age and located in the United States. PLEASE READ SECTION 11 CAREFULLY. IT CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

2. Eligibility

The Platform is available only to individuals who are at least eighteen (18) years of age and located in the United States. If you are a renter, you represent and warrant that you have obtained permission from your landlord or property owner before authorizing any contractor to access the property through the Platform. You are solely responsible for obtaining and maintaining all necessary permissions.

3. Platform — Marketplace Only

RUNHOME IS A TECHNOLOGY PLATFORM AND MARKETPLACE ONLY. RUNHOME IS NOT A LICENSED CONTRACTOR AND DOES NOT PERFORM CONSTRUCTION, REPAIR, OR MAINTENANCE SERVICES. All work offered, quoted, scheduled, or performed through the Platform is delivered by independent third-party contractors (“Contractors”). Contractors are not employees, agents, partners, joint venturers, or representatives of Runhome. Any contract or agreement for work is formed solely between you and the Contractor. Runhome is not a party to that agreement and disclaims all responsibility for the performance, quality, pricing, scheduling, materials, workmanship, warranties, licensing, or insurance of any Contractor.

4. AI-Generated Estimates and Alerts

ALL ESTIMATES, DIAGNOSES, COST BREAKDOWNS, ALERTS, AND OTHER OUTPUTS GENERATED BY THE PLATFORM (INCLUDING BY ARTIFICIAL INTELLIGENCE) ARE APPROXIMATIONS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. They are not professional assessments, licensed bids, or certified inspections and are NOT A SUBSTITUTE FOR AN IN-PERSON EVALUATION BY A LICENSED PROFESSIONAL. You should not rely on any AI-generated output as the basis for safety, structural, electrical, plumbing, or other critical decisions without independent verification by a qualified licensed professional.

5. Contractor Verification

Runhome uses commercially reasonable efforts to vet Contractors at onboarding, including reviewing license status and conducting annual reviews where applicable. We make no warranty or representation that any Contractor’s license, insurance, bonding, or other qualifications remain current or valid at the time work is performed. You are solely responsible for confirming the qualifications of any Contractor before engaging them.

6. Guarantee

We expect Contractors engaged through the Platform to perform work in a workmanlike manner consistent with industry standards. If you are not satisfied with the work performed, you must notify us at support@runhome.com within thirty (30) days of project completion so that we may attempt to facilitate a resolution between you and the Contractor. Failure to notify us within this period may limit the remedies available to you.

7. User Content and Data

The Platform enables you to submit photos, room scans, voice input, chat messages, and other content (collectively, “User Content”). By submitting User Content, you grant Runhome a worldwide, non-exclusive, perpetual, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works from, process, and use such User Content to operate, improve, and provide the Platform. Our collection and use of personal data are further described in our Privacy Policy, available at runhome.com/privacy. Core features of the Platform require access to your device camera and microphone.

8. Prohibited Conduct

You agree not to:

• use the Platform for any unlawful purpose;
• provide false, misleading, or inaccurate information;
• circumvent the Platform to engage Contractors outside of the Platform;
• upload or transmit any virus, malware, or other harmful code;
• scrape, crawl, or use automated means to access the Platform without our prior written consent;
• use the Platform to develop or support a service that competes with Runhome’s business.

9. Disclaimer of Warranties and Limitation of Liability

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

TO THE FULLEST EXTENT PERMITTED BY LAW, RUNHOME’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO RUNHOME IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). IN NO EVENT SHALL RUNHOME BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES ARISING FROM OR RELATED TO ANY AI-GENERATED OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless Runhome, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Platform; (b) your violation of these Terms; (c) your User Content; or (d) any work performed by a Contractor that you authorized through the Platform.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at support@runhome.com and attempt in good faith to resolve the dispute for at least thirty (30) days.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, applying California law. The arbitrator’s award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND RUNHOME AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

11.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction, and either party may bring an individual action in small claims court if the claim qualifies.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Marin County, California, and the parties consent to the personal jurisdiction of those courts.

13. Time Limit on Claims

ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM MUST BE FILED WITHIN ONE (1) YEAR FROM THE DATE THE CLAIM ACCRUED, OR IT IS PERMANENTLY BARRED.

14. Intellectual Property

Base Research Inc. owns all intellectual property rights in and to the Platform, including all software, designs, text, graphics, logos, and content (other than User Content). Subject to your compliance with these Terms, Runhome grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use only. All rights not expressly granted are reserved.

15. Modifications and Termination

We may update these Terms at any time. Material changes will be indicated by an updated “Last Modified” date and, where appropriate, notice by email. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. We may suspend or terminate your access to the Platform at any time for any reason. Sections 3, 4, 9, 10, 11, 12, 13, and 14 survive any termination of these Terms.

16. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Runhome regarding the Platform and supersede all prior or contemporaneous agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Runhome.
